THE DISCOVERY SYSTEM

Built for Artists
And the Audience That Drives Discovery

The music industry didn’t lack technology — it was overwhelmed by it.

Distribution platforms, collaboration tools, monetization systems, A.I.-driven creation engines — and more than a billion songs flooding streaming — created an industry full of activity, distractions, and expensive cycles that never lead to breakthroughs.

There is still no system that moves artists from unknown to discovered.

Artists don’t migrate for tools.
They migrate for outcomes.

Today, more than 65% of industry revenue comes from streaming — giving the world access to over a billion songs.

But access was never the problem.
Discovery is.

The TNFS.TV Voting Engine™ is built to do one thing:

Move artists from unknown to discovered — and convert discovery into monetization — at scale.

Escrow Structure — Purpose & Protection

All funds associated with this transaction are placed into escrow to ensure a controlled, transparent, and performance-based release process between all parties.

  • Protect Capital Deployment: Funds are secured and only released upon verified completion of agreed milestones and deliverables.
  • Align Incentives: Compensation is tied directly to execution, ensuring performance before payment.
  • Eliminate Counterparty Risk: A neutral third-party escrow agent governs all fund releases, protecting both sides.
  • Create Transactional Integrity: Each step is documented, verified, and time-stamped to establish a clear execution record.
  • Enable Scalable Execution: This structure can be replicated across multiple transactions without increasing risk.

Funds remain secured in escrow until all predefined conditions are satisfied or otherwise directed in accordance with the governing agreement.

This is a controlled release system tied directly to performance and verification.

Equity Structure, Dilution & Liquidity Framework

The Company’s capital structure has been engineered to support efficient growth while preserving long-term investor value. Upon completion of this capital raise, total dilution is projected at approximately 13.87%, reflecting a disciplined approach to capital deployment relative to platform scale and projected activation.

In addition, the existing investor base has satisfied applicable Rule 144 holding requirements, establishing a level of maturity within the cap table and reinforcing the transition toward broader liquidity pathways as the platform advances.

This structure was designed with two core objectives:

  • Capital Efficiency — minimizing dilution while maximizing deployment impact and scalability
  • Liquidity Readiness — positioning the Company and its shareholders within a compliant framework that supports future liquidity events as the business matures

Together, these elements create a balanced foundation that aligns early investors, new participants, and long-term strategic growth, while maintaining regulatory integrity and protecting the underlying asset.

The Company also recognizes the continued evolution of private market liquidity platforms, which have introduced structured environments for secondary transactions in venture-backed securities. While all transfers remain subject to applicable securities laws and Company controls, the presence of an established and seasoned investor base — combined with Rule 144 compliance — positions the Company within a framework that may support future liquidity opportunities as the platform matures.

Talent Activation Campaign (First 60 Days)

A targeted digital call-to-action campaign designed to activate undiscovered female singers and published songwriters entering the TNFS.TV ecosystem.

Campaign Budget

Category Amount
Total CTA Marketing Spend$500,000
Singer Acquisition Campaign$300,000
Songwriter Acquisition Campaign$200,000

Both groups activate their Friends, Family, and Followers (FFF) networks in order to participate in the TNFS.TV voting tournament. Each participant registers through the platform with a $2.99 entry fee.

R&D Validation (2014–2019)

Between 2014 and 2019, the NPTI research and development team spoke with numerous undiscovered female singers active on platforms such as Cover Nation. These artists typically had social media followings ranging from 500 to 15,000+ followers.

When presented with the TNFS.TV competition model and the potential multi-million-dollar prize packages, these singers indicated strong willingness to participate. This research validated that a large segment of independent singers is actively seeking credible pathways to global discovery.

This campaign will focus on activating additional undiscovered female singers, published songwriters, and their Friends, Family, and Followers (FFF) networks to expand participation in the TNFS.TV voting tournament.

After this 30-day acquisition campaign, the newly activated creators and voters will continue participating throughout the fourth, fifth, and sixth months of the 180-day tournament cycle. The users generated during this second campaign will be added to the participants acquired during the first 60 days, expanding the overall platform audience and engagement.

At that stage, approximately $500,000 of the original $1.8 million marketing allocation will remain available for additional strategic user acquisition and promotional initiatives as the platform approaches the completion of its first 180-day global voting cycle.
